Governance, Risk Management, and Control form the foundation of the CIA Part 1 exam, representing interconnected concepts essential to organizational success. Governance refers to the combination of processes and structures implemented by the board to inform, direct, manage, and monitor the organization's activities toward achieving its objectives. It encompasses ethics, corporate social responsibility, and the tone set by leadership. Internal auditors assess whether governance processes promote appropriate ethics, ensure effective performance management, communicate risk and control information, and coordinate activities among the board, external and internal auditors, and management. Risk Management is the process to identify, assess, manage, and control potential events or situations that could affect the achievement of objectives. Organizations use frameworks like COSO ERM to align risk appetite with strategy. Internal auditors evaluate the effectiveness of risk management by determining whether significant risks are identified, assessed, and appropriately responded to through avoidance, acceptance, sharing, or mitigation. The concept of residual risk—risk remaining after management's responses—is central here. Control refers to any action taken by management, the board, and other parties to manage risk and increase the likelihood that objectives will be achieved. Controls can be preventive, detective, or corrective, and they support operational efficiency, reliable reporting, and compliance with laws. Internal auditors assess the adequacy and effectiveness of the control environment and specific control activities. These three elements are deeply interrelated: effective governance relies on sound risk management, which in turn depends on strong internal controls. The internal audit activity provides assurance and consulting services to improve all three areas, adding value by evaluating and enhancing their effectiveness. Understanding these relationships is critical for the CIA candidate, as the IIA's International Professional Practices Framework (IPPF) emphasizes the auditor's role in evaluating and contributing to the improvement of governance, risk management, and control processes throughout the organization.
